Terms of Use

Effective Date: April 1, 2026

1. Ownership and Intellectual Property

CreditAxis and all associated software, documentation, data models, workflows, and content are the proprietary and confidential property of CreditAxis. Access to the Platform does not transfer any ownership interest. All rights not expressly granted are reserved.

2. Authorized Use

The Platform is made available exclusively to authorized personnel of institutional customers that have executed a written agreement with CreditAxis. Use of the Platform is governed by that written agreement. Unauthorized access, reverse engineering, data extraction, or reproduction is prohibited.

3. Confidentiality

All information presented on or accessible through the Platform — including deal data, decision records, policy configurations, authority matrix settings, and audit logs — is confidential and proprietary. Authorized users are obligated to maintain the confidentiality of this information.

Commercial pilot and production engagements are governed by separate written agreements, including applicable confidentiality, security, data handling, service, and liability provisions. Public website terms are not intended to serve as the final commercial framework for regulated financial institution engagements.

6. No Warranties

THE PLATFORM IS PROVIDED “AS IS” DURING PILOT AND EARLY-ACCESS ENGAGEMENTS, EXCEPT AS EXPRESSLY STATED IN A SIGNED AGREEMENT. CREDITAXIS MAKES NO WARRANTIES, EXPRESS OR IMPLIED, REGARDING FITNESS FOR A PARTICULAR PURPOSE, ACCURACY OF OUTPUTS, OR UNINTERRUPTED AVAILABILITY. CREDIT DECISIONS REMAIN THE SOLE RESPONSIBILITY OF THE CUSTOMER INSTITUTION.

7. Limitation of Liability

To the maximum extent permitted by applicable law, CreditAxis's liability is limited as specified in the applicable signed agreement. CreditAxis is not liable for credit losses, regulatory actions, or business decisions made in connection with use of the Platform.

8. Governing Agreement

These Terms of Use are supplemented by the signed agreement governing each customer engagement. In the event of a conflict between these Terms and a signed agreement, the signed agreement governs. See also: Pilot SOW Priority Note.

9. Modifications

CreditAxis may update these Terms. Material changes will be communicated to institutional customers per the applicable agreement. Continued use of the Platform following notice of changes constitutes acceptance of the updated Terms.
